This is our standard terms and conditions wrapped up in our agreement that each customer will be asked to sign. If you have any questions, please don’t hesitate to ask us.

My Trade Web Services Agreement

Parties:
This agreement (the “Agreement”) is made effective as of <Subscription Start Date>, between [Client Name] of [Client Address] (referred to as the “Client”) and Aaron Dennis Limited trading as My Trade Web a company registered in England with registered company number of 10261055, located at 10 Red Kite Close, Calcot, Reading, Berkshire, RG31 7BT (referred to as the “Service Provider”).

1. Services Overview:
The Service Provider agrees to provide web design, hosting, maintenance, and website security services to the Client, as outlined in this Agreement.

2. Scope of Services:
The Service Provider shall provide the following services:

• Web Design: Creation and development of a website tailored for the Client’s trade business.
• Web Hosting: Provision of suitable web server(s) for hosting the Client’s website.
• Maintenance, Security, and Support: Ongoing maintenance, security updates, and support to ensure optimal website performance and security.
• Maintenance includes:
  o Core website software updating.
  o Provision, licencing and maintenance of required plugins.
  o Daily backup of database and website files.
  o Database optimisation.
  o Image optimisation.
  o Management of DNS records and email notifications.
  o Regular spam and revisions clean-up.
  o Security and performance scans.
  o Performance optimisation.
  o Email and telephone support.
  o Minor changes to website pages (updating of pages, adding pages, contact information updating etc)

• Exclusions: Major changes (site redesign)

• Service Levels:
  New Site Builds: 4-6 Weeks
• Minor Changes: 5 Days
• Minor Errors: 3 Days
• Site Unavailable: 8 Hours

3. Agreement Terms:
3.1. Authorisation: The Client authorises the Service Provider access and permissions to all website directories and files for maintenance, security, and support purposes.
3.2. Ownership: The Client will own the website, domain name and content of the website, should the Client wish to transfer to another company or hosting provider, a transfer fee of £100 will be payable (£40 for only a domain name) – this fee covers the administration work required to make the transfer(s).
3.3. Cancellation: The Client may cancel services at any time by providing written notice to [email protected]. No refunds will be provided for cancelled services.
3.4. Termination for Late Payments: Payments later than 2 weeks will result in termination of website and associated services. Reinstatement within 6 months is possible upon payment of a £150 reinstatement fee.

4. Limitation of Liability:
The Service Provider builds, hosts, and maintains your website and strives for optimal performance and security, the Service Provider does not own or warrant the software such websites are built on. The Service Provider does not represent, guarantee, or warrant that the functions contained in these webpages or internet website will be uninterrupted, error-free, free from loss, corruption, attack, viruses, interference, hacking, or other security intrusions, and the Service Provider disclaims any liability relating thereto. To the extent not prohibited by law, in no event will the Service Provider be liable to the Client or any third party for any damages, including but not limited to, any lost profits, lost savings, loss of data, business interruption, or incidental, consequential or special damages arising out of the operation of or inability to operate these webpages or website, however caused, even is the Service Provider has been advised of the possibility of such damages.

5. Tax:
All prices contained on the Service Providers website (https://mytradeweb.co.uk) and in this agreement are exclusive of Value Added Tax.

6. Legal Compliance:
Both parties agree to adhere to all relevant laws and regulations. This Agreement shall be governed by the laws of England and Wales.

7. Entire Agreement:
This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements or understandings.

8. Exclusive Jurisdiction:
Although the language is simple, the intentions are serious, and this contract is a legal document under exclusive jurisdiction of the English and Welsh courts.

Signatures:
Signatures will be requested for this agreement in electronic format once a subscription has been purchased.
